CONFIDENTIALITY PLEGDE No. 50515

Hereby undertake: You and your means business for sale or its share and all persons, companies or enterprises, shareholders, directors, employees, contract consultants and agents, their family members or other persons related to this business and to the assets intended for the business for sale or its share. We, us and our means the undersigned individual and any business or company which the undersigned represents including its parent companies and subsidiaries, or a group of connected individuals, companies or enterprises, its shareholders, directors, contractor consultants and agents, and their family members or other associated persons. Confidential Information means information (in whatever format and medium and whether written or oral) is confidential under your decision. 1. Considering that you disclose or agree to disclose Confidential Information to us, we undertake:

1.1. to treat all Confidential Information as strictly private and confidential and preserve its status per se.   1.2. use all Confidential Information solely for the purposes of evaluating your business with intention to purchase your shares or your other assets; not to use Confidential Information for any other commercial, political or other activity.   1.3. To inform and provide all assistance for you to appraise the way we comply with the Confidentiality Pledge hereby.   1.4. to prevent making Confidential Information available for any other person. It can be used only by:

1.4.1. our administration directors/partners/members capable of using the following information for business purposes and have permissions to the effect.     1.4.2. our professional advisers acting on our behalf in connection with projected purchase of shares.     1.4.3. financial institutions from which we may be granted financing for the purchase of the shares or any other your assets.     1.4.4. Your attorneys.

1.5. Ensure that any of the persons referred to in paragraph 1.4 will strictly comply with confidentiality and will not disclose it to any third party, except for those persons as permitted by paragraphs 1. 4.1 to 1.4.4.   1.6. To draw and preserve a list of individuals entitled to use Confidential Information and make the list available for you at your request.   1.7. Not to reproduce information, except cases at your request. To return all provided information to you and ensure its return in all copies, analyses, materials related to Confidential Information, other documents. We undertake to destroy and expunge from any storage media available Confidential Information, as well as to guarantee for all persons listed in the paragraph 1.4. to destroy all information.   1.8. Not to disclose the places and times of negotiations and discussions to the third parties.   1.9. In any case when Confidential Information is used, we require your written authorization to contact your employees, customers, suppliers or state bodies and control authorities and other personal associated with you.   1.10. At least 5 years upon the termination of the negotiations hereby (except for cases when sale of shares or business share is conducted) we cannot directly or indirectly meddle into your business, employ your employees or work with them in any other way.   1.11. To inform you immediately on the unauthorized leakage and use of Confidential Information. We assume full liability for infringement or breach of the conditions of Confidentiality Pledge hereby.

2. We also confirm that:

2.1. we possess enough financial resources to purchase the shares you are selling for your price specified.   2.2. in this case We are the main executive (not an agent or a broker) and Our objective is to buy your business for the purposes of our own business. We confirm that in case of share purchase we will buy all your shares proposed for the sale or a share of the business.   2.3. You will not be responsible for inflicted loss, as well as for errors or inaccuracy in the information.   2.4. Neither of the provisions settled in the obligation hereby can force you to provide information to us, which is related to you. You have a right to relinquish providing any information to Us at all.   2.5. We undertake to assume full liability due to loss or other duties you may incur due to the breach of the Confidentiality Pledge hereby.   2.6. We are responsible and undertake to take the responsibility due to the breach Confidentiality Pledge hereby made by the persons listed in the paragraph 1.4.
